Techoni - General Terms and Conditions of Sale
1. General Provisions
All sales and deliveries of goods and services by Techoni (formerly trading as Todays Venture UK Ltd) ("the Seller") shall be governed exclusively by these General Terms and Conditions of Sale ("Terms"), unless expressly varied in writing and duly authorized by an officer of Techoni. Any terms or conditions proposed by the purchaser ("the Buyer") that conflict with or supplement these Terms shall be deemed void unless expressly accepted in writing by Techoni.
2. Order Acceptance and Cancellation
All orders are subject to acceptance by Techoni. Acceptance shall occur only when Techoni issues written or electronic confirmation of the order. Techoni operates as a digital marketplace. Prices and stock levels are managed through automated systems connected to the website. In the event of a software malfunction or clerical error resulting in incorrect pricing or stock information, Techoni reserves the right to cancel or amend the order. Where cancellation occurs, any amounts paid shall be refunded to the Buyer without undue delay using the original payment method. At its sole discretion, Techoni may offer the Buyer an opportunity to proceed with the order at the correct price prior to cancellation.
3. Product Condition and Warranty
Techoni warrants that all goods supplied are in satisfactory condition, free from damage, and suitable for sale at the agreed price. All new products carry the original manufacturer's warranty. For refurbished products, Techoni provides a 30-day replacement warranty covering defects in materials or workmanship, provided written notice of defect is received within thirty (30) days from delivery. A product shall be deemed defective only if it fails to meet the specifications expressly stated at the time of sale.
4. Credit and Payment Terms
Unless otherwise agreed in writing, all invoices are payable immediately upon receipt. Accounts approved for Net 30 terms must remit payment within thirty (30) days from the date of invoice. Techoni reserves the right to withdraw credit facilities from inactive accounts exceeding twelve (12) months. Failure to pay invoices when due may result in suspension of deliveries and the application of interest at a rate of 2% above the prevailing base rate.
5. Delivery of Ex-Stock Goods
Delivery of goods described as "ex stock" shall be contingent upon availability at the time Techoni receives the Buyer's official Purchase Order.
6. Right to Subcontract
Techoni reserves the right to subcontract any part of the order as deemed necessary to ensure timely andefficient delivery.
7. Value Added Tax
All sales are subject to Value Added Tax (VAT) at the rate prevailing on the date of dispatch. The Buyer shall be responsible for the payment of all applicable VAT charges as indicated on the invoice.
8. Pricing and Carriage Charges
Delivery and carriage costs, where applicable, shall be itemized on the Buyer's invoice. Unless otherwise confirmed in writing, the prices stated on Techoni's invoices shall be those valid on the date of dispatch.
9. Heavy Item Shipping Notice (Above 25KG)
All heavy items above 25KG will be charged shipping cost as per actual. Please contact us for a shipping quote before placing an order.
10. Delivery Times and Estimates
All pre-sale quotations regarding delivery costs or timeframes are provided for guidance purposes only. Final delivery terms will be confirmed in Techoni's official quotation, invoice, or order confirmation. Techoni shall not be liable for any loss or damage arising from delayed delivery caused by third-party couriers or events beyond its reasonable control. Delays due to such causes shall not entitle the Buyer to cancel the order or claim compensation.
11. Partial Shipments
Techoni reserves the right to fulfill an order through multiple deliveries where necessary. The Buyer agrees to accept partial shipments, and the contract shall remain in effect until all goods are delivered and paid for in full.
12. Short Delivery, Non-Delivery, or Damage in Transit
Claims for short delivery or damaged goods must be submitted in writing within three (3) days of receipt. Claims for non-delivery must be received within fourteen (14) days from the expected dispatch date. If goods appear visibly damaged upon delivery, the Buyer shall refuse acceptance or mark the courier's receipt as "Received Damaged." Notification of "Damage in Transit" must be made to Techoni within forty-eight (48) hours of delivery.
13. Defective Goods
Claims for defective or incorrect products must be made within seven (7) days of receipt. Techoni's liability shall be limited exclusively to replacement of the goods or issuance of a credit note. Techoni shall not be liable for transportation costs or consequential losses. Unauthorized repairs or modifications without prior written consent shall void any warranty.
14. Software and Digital Licenses
All sales of software, license keys, and electronically delivered products are non-cancellable and non-refundable once confirmed.
15. Price Match Policy
Techoni may, at its discretion, match a competitor's price for the same product, subject to identical SKU, product condition, and stock availability. Price matching shall not apply to products that are out of stock or discontinued.
16. Force Majeure
Techoni shall not be held responsible for any failure or delay in performance resulting from causes beyond its control, including but not limited to natural disasters, governmental actions, strikes, or other force majeure events. In such cases, Techoni may suspend or cancel the affected order without liability for damages.
17. Payment Default and Legal Remedies
In the event of non-payment, insolvency, liquidation, or similar financial distress on the part of the Buyer, Techoni reserves the right to pursue recovery of all outstanding amounts through legal means and suspend future deliveries.
18. Retention of Title
Title to all goods shall remain with Techoni until full payment is received. If goods are resold prior to payment, Techoni retains the right to recover the proceeds from such resale or reclaim possession of the goods. Return of goods shall not constitute cancellation of the Buyer's payment obligation unless expressly agreed in writing.
19. Precedence and Modification
These Terms constitute the entire agreement between the parties and supersede all prior communications, proposals, or agreements. Any conflicting or additional terms presented by the Buyer shall be inapplicable unless expressly accepted by Techoni in writing.
20. Governing Law and Jurisdiction
These Terms shall be governed by and construed in accordance with the laws of England and Wales. The courts of England shall have exclusive jurisdiction over any disputes arising from or related to this Agreement.
